1. Introduction

These Auction Terms and Conditions govern all auctions conducted by Carolina Estate Sales & Auction Services, LLC. By registering, bidding, purchasing, or participating in any auction, each bidder agrees to be legally bound by these Terms. The Auctioneer may amend these Terms at any time, and continued participation constitutes acceptance of the current version.

2. Auction Information

Buyer's Premium: 20%

Lot Fee: $1.00 per lot

Sales Tax: Applicable South Carolina sales tax or other required taxes

Credit Card Processing: Processed through Proxibid ATG; applicable fees paid by Buyer.

Accepted Payments: Visa, Mastercard, Discover, American Express.

Office Hours: Monday–Friday, 10:00 AM–5:00 PM Eastern.

3. Registration & Bidder Eligibility

To participate in any auction, each bidder must register through the designated online bidding platform and receive bidding approval before placing bids. By registering, the bidder represents that they are at least 18 years of age, legally capable of entering into a binding agreement, and that all registration information is accurate and current. The Auctioneer reserves the right, in its sole discretion, to approve, deny, suspend, or revoke bidding privileges at any time. By registering, bidders consent to receive communications relating to bidding, invoices, pickup instructions, shipping notifications, and other auction-related matters using the contact information associated with their bidding account.

4. Auction Conduct & Bidding

Each bid constitutes a legally binding and irrevocable offer to purchase the applicable lot(s) if determined to be the winning bid. Bid retractions or cancellations are not permitted unless expressly authorized by the Auctioneer. The Auctioneer reserves the right to reject bids, resolve bidding disputes, withdraw or re-catalog lots, postpone or cancel auctions, correct clerical errors, and determine the successful bidder. All decisions of the Auctioneer regarding the conduct of the auction are final and binding. Internet bidding is provided as a convenience through third-party platforms. The Auctioneer is not responsible for internet outages, software failures, delayed bids, or missed bids. Bidders are encouraged to submit maximum proxy bids in advance of the auction closing

5. Lot Descriptions, Photographs & Item Condition

The Auction Company strives to provide accurate lot descriptions, photographs, measurements, model information, and product details. However, all descriptions, photographs, retail values, and specifications are provided as a convenience only and are not guaranteed to be free of error. Information may originate from manufacturers, distributors, barcode data, product packaging, third-party sources, or AI-assisted cataloging tools. Buyers are solely responsible for determining the condition, authenticity, completeness, suitability, and value of each item before bidding. Canned or actual image photographs may be used in each lot. (If Applicable) Estimated retail values are informational only and should not be relied upon as a guarantee of value.

All lots in this auction are open box customer returns and/or overstock liquidation merchandise – items are not tested or verified. Stock Photos are used in the auction listing and my not be exact to product. Items in this auction may also include Collectibles, Estate & Personal Property, Misc. Items, and/or Vehicles/Boats.

DEFINITIONS – OPEN-BOX CUSTOMER RETURNS & LIQUIDATION / OVERSTOCK MERCHANDISE

Open-Box Customer Returns: Merchandise identified as an “open-box,” “customer return,” or similar designation may have been previously purchased, opened, handled, used, assembled, or returned for any number of reasons. Reasons for return may include, but are not limited to, no longer needed, changed mind, defective item, better price available, damaged merchandise, missing or broken parts, incorrect item, or other reasons.

Liquidation / Overstock Merchandise: Merchandise may originate from retailer overstock, shelf pulls, discontinued inventory, liquidation, customer returns, or other secondary-market sources. The Auctioneer does not guarantee the condition, completeness, functionality, or retail history of any such merchandise.

Testing & Condition: Unless expressly stated otherwise in the individual lot description, open-box and customer-return merchandise is NOT TESTED by the Auctioneer. Items may be functional, partially functional, defective, damaged, incomplete, or nonfunctional.

Packaging, Parts & Accessories: Original manufacturer packaging, manuals, hardware, accessories, components, chargers, cords, remotes, mounting hardware, or other parts are NOT GUARANTEED to be included, even if shown or referenced in manufacturer or stock photographs.

Manufacturer Warranty: Manufacturer warranties are NOT GUARANTEED and should be considered unavailable unless expressly stated otherwise in the individual lot description.

Colors, Sizes & Specifications: Actual colors, sizes, models, finishes, specifications, quantities, and other product characteristics may vary from photographs, stock images, retail information, titles, or descriptions provided in the auction listing.

Bidders are responsible for reviewing all available photographs, descriptions, and other lot information before bidding. BIDDERS SHOULD BID BASED UPON THE ITEM’S AS-IS CONDITION AND NOT UPON EXPECTATIONS ASSOCIATED WITH NEW RETAIL MERCHANDISE.

6. Inspection & Preview

Whenever a preview is offered, bidders are strongly encouraged to inspect items prior to bidding. By placing a bid, the Buyer acknowledges either that the item has been personally inspected or that the opportunity to inspect has been voluntarily declined. Failure to inspect an item does not relieve the Buyer of any obligation arising from the purchase. Buyers are responsible for evaluating the age, condition, authenticity, completeness, functionality, and suitability of each item.

7. AS-IS, WHERE-IS

ALL PROPERTY IS SOLD 'AS IS,' 'WHERE IS,' AND 'WITH ALL FAULTS.' Unless expressly stated otherwise in the individual lot description, the Auctioneer makes no express or implied warranties, including merchantability, fitness for a particular purpose, authenticity, condition, or functionality. Many items consist of customer returns, estate property, overstock, or liquidation merchandise and may be used, incomplete, damaged, defective, repaired, or missing components. Unless specifically stated, items have not been tested. All sales are final. No refunds, exchanges, credits, or returns will be granted except where required by applicable law.

8. Payment Terms

All invoices must be paid in full before any property will be released. Unless otherwise announced, the credit card associated with the Buyer's bidding account on Proxibid.com will be charged for the hammer price, Buyer's Premium, lot fees, applicable taxes, credit card processing fees, shipping charges, storage fees, and any other authorized charges. The Buyer authorizes the Auctioneer to process additional charges when necessary to satisfy amounts due under these Terms. Declined payments may result in late fees, suspension of bidding privileges, collection activity, or other remedies permitted by law. Buyers waive any and all rights to initiate a credit card charge back against the transaction and/or the seller.

9. Buyer's Premium, Lot Fees & Sales Tax

Buyer's Premium: 20%, Lot Fee: $1.00 per lot, Sales Tax: South Carolina sales tax or other applicable taxes required by law. Credit Card Processing: Applicable processing fees charged through the Proxibid.com ATG online payment platform. These charges become part of the Buyer's invoice and are due immediately upon completion of the auction.

10. Sales Tax Exemption

Buyers claiming exemption from sales tax are responsible for maintaining valid exemption documentation within their bidding account before bidding. Failure to provide valid documentation may result in sales tax being charged on the invoice.

11. Non-Payment & Default

Failure to pay an invoice in full constitutes default. The Auctioneer may charge a $25 Late Payment Fee if the auction is not paid for by 5pm Eastern Time Zone the following day after the auction has concluded, cancel the sale, retain monies previously paid where permitted, resell the property, suspend bidding privileges, report the account to the auction platform, refer the account for collection, recover reasonable collection costs and attorney's fees, and pursue any other remedy available under applicable law.

12. Local Pickup

Unless otherwise stated in the auction listing, Buyers must remove all purchased property during the scheduled pickup dates and times. Buyers are responsible for bringing sufficient labor, tools, packing materials, and equipment needed to safely remove their purchases. The Auctioneer is under no obligation to provide loading assistance or moving equipment. For our Local Customers: Property not removed during the scheduled pickup period will be forfeited without refund if not picked up in the stated pickup time for the auction. Lots may be subject to storage fees (if eligible), shipping (if eligible), or forfeiture as provided in these Terms.

13. Extended Holdover Storage Service

If approved by auctioneer only, eligible purchases may remain in the Auctioneer's possession for up to seven (7) calendar days after the scheduled pickup period, unless otherwise announced. Storage fees are automatically assessed at $10.00 for the first lot and $6.00 for each additional lot or any fee the auctioneer sets forth as a courtesy to the bidder. These fees may be charged to the Buyer's payment method on your account with Proxibid.com or on file with the auction company. The Auction company is not a warehouse or long-term storage facility.

14. Failure to Pick Up Purchased Property

If purchased property is not removed before the expiration of the auction pickup date or (If Eligible) holdover period, the Auctioneer may, at its sole discretion, ship eligible property at the Buyer's expense even Local Customers, declare the property abandoned, reauction or dispose of the property, retain monies paid where permitted by these Terms, and assess additional storage or collection costs. Buyers shall have no right to refunds, credits, or compensation for property forfeited or deemed abandoned under these Terms. These fees may be charged automatically to the credit card on file on your Proxibid.com account or on file with the auction company.

15. Shipping

Shipping is available only for lots specifically identified as eligible for shipping in the auction catalog or lot description. Lots marked 'Local Pickup Only' are not eligible for shipment. The Auctioneer determines the shipping carrier, packaging method, and shipment process in its sole discretion. Buyers are responsible for all shipping-related expenses, including carrier charges, packing materials, labor, handling fees, insurance (if purchased), and any special packaging requirements. Shipping charges are separate from the auction invoice and will be billed after items have been prepared and processed for shipment. All shipping charges will be charged to your credit card on your Proxibid account or on file with our company. The Auctioneer ships only to the verified shipping address associated with the Buyer's approved Proxibid account unless otherwise authorized in writing via email and approved by the auction company. All Shipping Charges are non-refundable.

16. Shipping Claims

Buyers must inspect all shipments immediately upon delivery. Claims for shipping damage or shortages must be submitted in writing within three (3) days after delivery. Buyers must retain all original cartons, packing materials, and damaged contents until the claim has been resolved. Failure to preserve packaging may result in denial of the claim. Shipments processed through third-party shipping providers must follow that provider's claim procedures.

17. Shipping Timeframe

Unless otherwise announced, Buyers should allow approximately fifteen (15) to twenty (20) business days after payment of both the auction invoice and all applicable shipping charges for shipment processing. Shipping times are estimates only and may vary due to carrier delays, weather conditions, holidays, staffing, order volume, or other circumstances beyond the Auctioneer's control.

18. Transfer of Ownership & Risk of Loss

Ownership of purchased property does not transfer until the Auctioneer has received and confirmed payment in full for all amounts due. Upon confirmation of payment and the close of the auction, the risk of loss, theft, damage, not picking item up during the stated pickup date and time set forth for the auction, or destruction passes to the Buyer. The Auctioneer shall not be responsible for loss or damage occurring after risk has been transferred.

19. Limitation of Liability

To the fullest extent permitted by law, Carolina Estate Sales & Auction Services, LLC, its owners, officers, employees, agents, consignors, affiliates, and representatives shall not be liable for direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from participation in an auction, the purchase or use of property, errors in descriptions, internet interruptions, delayed bidding, shipping delays, product defects, pictures/images, or other matters related to the auction process.

20. Buyer Indemnification

The Buyer agrees to defend, indemnify, and hold harmless Carolina Estate Sales & Auction Services, LLC, together with its owners, officers, employees, agents, consignors, and affiliates, from and against claims, liabilities, losses, damages, costs, expenses, and reasonable attorney's fees arising out of the Buyer's participation in the auction, removal or transportation of property, breach of these Terms, misuse of purchased property, or injury to persons or property caused by the Buyer or the Buyer's representatives.

21. Force Majeure

The Auctioneer shall not be liable for delays, interruptions, postponements, cancellations, or failures to perform resulting from circumstances beyond its reasonable control, including severe weather, natural disasters, power outages, internet failures, governmental actions, labor disputes, public health emergencies, equipment failures, or other events materially affecting auction operations. The Auctioneer may postpone, modify, or cancel an auction when necessary.

22. Governing Law, Venue & Arbitration

These Terms are governed by the laws of the State of South Carolina. Except where prohibited by law, disputes shall be resolved by binding arbitration in South Carolina under the Commercial Arbitration Rules of the American Arbitration Association. Any court proceedings shall be brought in Greenville County, South Carolina. To the fullest extent permitted by law, the parties waive the right to trial by jury. Attorney’s Fees and Court Costs: The bidder shall be responsible for all reasonable attorney’s fees, court costs, collection expenses, and other costs incurred by the Auctioneer in enforcing these Terms and Conditions or collecting any amounts owed by the bidder.

23. Electronic Communications

By registering for an auction, the Buyer consents to receive electronic communications including invoices, payment confirmations, pickup instructions, shipping notifications, and auction announcements by email, telephone, or text message where permitted.

24. Communication Policy

All official disputes, claims, payment issues, shipping inquiries, and requests requiring review must be submitted in writing by email to Office@CarolinaAuctioneers.com. Email correspondence constitutes the official communication record. No Phone calls.

25. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by the Auctioneer to enforce any provision shall not constitute a waiver of future enforcement.

26. Entire Agreement

These Terms and Conditions together with the auction catalog, announcements, invoices, pickup instructions, and written amendments issued by the Auctioneer, constitute the complete agreement between the Buyer and Carolina Estate Sales & Auction Services, LLC. Participation in any auction constitutes acceptance of these Terms and Conditions (Terms of Sale).
